Here you’ll find the overall requirements for the Ultimate Beneficial Owner (UBO) and ownership and control structure, a general description of the feature, and examples of concrete implementations.

The definition of an Ultimate Beneficial Owner (UBO) in the Avallone platform:

  1. Individuals with more than 25 % ownership and/or voting rights.

  2. Individuals with special rights which give the individual a controlling power of the company (add in the ownership and/or voting rights screen).

The ownership and control structure

The purpose of the ownership and control structure is to give a transparent view of the individuals who have controlling power of each entity in the company’s structure. The feature supports:

  • Visualization of the ownership and control structure (company structure)

  • Define the relationship between different entities with ownership and voting rights

  • Define the relationships between entities and individuals (officers) with ownership and voting rights

  • Define individuals who have special rights in specific entities that should be considered controlling influence. E.g., veto rights for important decisions, the mandate to replace the majority of the board of director members, etc.

  • Can calculate the indirect ownership and voting right for all subsidiaries
